Friends Bylaws
Article I - Name
The name of this organization shall be the Friends of the American Fork Library.
Article II - Purpose
The Friends of the American Fork Library believes that public libraries are fundamental to a free society where all have the opportunities to pursue knowledge, self-improvement, and economic prosperity. The Friends of the Library promotes and supports literacy programs, information access technology, collection development, business and community partnerships, and volunteer efforts to further the library’s fundamental role in the community.
Article III - Membership
- Membership in this organization shall be open to all individuals, organizations, and businesses in sympathy with its purposes.
- Each individual, organization or business shall be entitled to 1 vote.
Article IV - Officers and Committees
- The officers of this organization shall be a President, Vice President, Secretary and a Treasurer.
- Officers shall be elected by majority vote of those present at the annual meeting for a term of 1 year or until a successor is chosen.
- The Library Director, or designee, shall be an ex officio member of the organization.
- Duties
- President: shall preside at all meetings, represent the organization when appropriate, and direct the business with the advice and consent of the Library Director and the Library Board of Trustees.
- Vice President: shall preside in the absence of the President, perform such duties as requested by the President, and complete the term of the President, if necessary.
- Secretary: shall keep a correct record of meetings of the organization and conduct correspondence as required.
- Treasurer: shall be responsible for maintaining an accurate record of all funds received and disbursed and shall submit a statement to date at each meeting of the organization.
- Committees may be appointed consistent with the purposes of the organization.
Article V - Meetings
- The annual meeting shall be held on a date set for the purpose of election of officers and to enact any other business.
- Additional meetings shall be held whenever scheduled by the President or other duly constituted authority of this organization.
- A written record of all meetings shall be maintained by the Secretary and a copy given to the Library Director.
- Meetings are open to the general public at all times.
Article VI - Funds
- All funds accrued by the Friends organization shall be deposited to the account of the Friends of the American Fork Library and shall be disbursed by the Treasurer as authorized by the President, to be used for the purposes of the Library.
- Adequate books of account shall be maintained by the Treasurer who shall be responsible thereof.
- All checks shall be signed by the Treasurer and 1 other individual as designated by the organization.
- The fiscal year of this organization shall begin on January 1 of each year and end on December 31st of the same year.
- No personal liability shall in any event be attached to any member in connection with any of its undertakings.
- In the event of the dissolution of the Friends, all funds shall be disbursed to the American Fork Library.
- An auditor, who is not an officer, shall be appointed to audit the Treasurer’s books prior to the annual meeting where the audited report will be presented.
Article VII- Amendments
- Amendments to the by-laws may be made at any meeting of the general membership by a 2/3 vote of those present, after notification of at least 1 week prior to the meeting at which voting is to take place.
